Legal teams spend a significant amount of time building clause playbooks. It’s important to collect reference notes on preferred positions, fallback language, and other standards every contract should hold to. Unfortunately what tends to happen is the playbook lands in a shared drive and languishes in obscurity.

When a vendor redlines a clause, procurement teams dig up whatever version they can find, makes a call they may not be equipped to make, and hopes it matches Legal's intent. Legal often has no view into whether their standards are held, and Procurement either guesses or routes everything back for review. Contracts pile up behind the bottleneck.

AI Clause Library & Legal Playbooks from Zip puts the playbook inside the contract review itself, so the standard applies while the work happens.

Build a legal playbook with AI extraction

First, Legal builds a playbook from scratch or uploads an existing PDF or Word doc—however they may prefer to work. Zip's AI reads the document and extracts each clause, position, and piece of language into a structured format ready to review and activate. A standard MSA playbook ships out of the box, so teams start with a working baseline on day one.

Each clause holds a standard position, a fallback position, preferred legal language, and external comments for counterparty negotiation. Zip suggests how each clause maps to your existing contract fields; you review the mapping and adjust what you want.

Apply playbook language during contract review

When a reviewer opens a contract in the Document Details Page or the Word Add-in, they pick the relevant playbook. Zip flags every clause that deviates from it and surfaces the standard and fallback language in the side panel, with one-click copy for redlining. The guidance sits right where the work happens, so procurement handles more on its own and escalates only what genuinely needs legal.

Playbooks stay organized by document type, MSA, NDA, and the rest, and refresh anytime by re-uploading or re-extracting.

Track deviations and policy compliance

Zip tracks deviation as it goes. The metadata tab shows the share of clauses flagged against the playbook; the review task tab shows how many reviews were approved within policy versus outside it. Legal finally sees whether their standards are held on each contract, down to the clause.

Consistent clause enforcement for legal and procurement

Legal has always had the expertise to define what good looks like. What they lacked was a way to apply it at the volume procurement moves. Clause Library & Legal Playbooks gives them that: set the rules once, and Zip enforces them on every review. Fewer bottlenecks for legal, fewer judgment calls for procurement.
